Communities Terms of Use and Disclaimer

1. Introduction; Scope; Acceptance of Terms
The Investor’s Podcast Network (“The Investor’s Podcast Network,” “TIP,” “we,” “us,” or “our”) operates various online communities, courses, and events for listeners and members, including but not limited to:
- TIP Mastermind Community (“TIPMC”),
- The Intrinsic Value Community (“TIVC”),
- The Richer, Wiser, Happier Masterclass (the “Masterclass”), and
- Any other online or in-person communities, courses, seminars, workshops, meetups, and events that we may offer now or in the future (collectively, the “Communities and Events”).
These Terms of Use (the “Terms”) govern your access to and use of:
- Our community platforms, forums, and messaging channels,
- Any related virtual or in-person events, dinners, retreats, and meetups we organize or host, and
- Any content, information, or services provided through or in connection with the Communities and Events (collectively, the “Services”).
By registering for, accessing, or using any of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not register for, access, or use any of the Services.
If you are dissatisfied with the Services, or any content, product, or information provided through the Services, your sole and exclusive remedy is to stop using the Services.
We may modify, add, or delete portions of these Terms at any time in our sole discretion. If we make material changes, we will update the “Last Updated” date above and may provide additional notice as required by law. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms.
The Services are intended for individuals who are at least 18 years old. By using the Services, you represent that you are 18 years of age or older.
2. Educational and Informational Purpose Only; No Investment Advice
The Communities and Events, and all content provided through them (including, without limitation, discussions, posts, presentations, recordings, tools, worksheets, models, and any verbal or written commentary) (collectively, the “Information”) are provided for informational and educational purposes only.
The Information is:
- General and impersonal in nature,
- Not tailored to your individual objectives, financial situation, or needs, and
- Not intended to provide, and should not be construed as providing, financial, investment, tax, legal, accounting, or other professional advice.
Without limiting the foregoing:
- The Information is not a recommendation, offer, or solicitation to buy, sell, or hold any security, financial instrument, or strategy.
- The Investor’s Podcast Network is not a registered investment adviser or broker-dealer and does not provide individualized investment advice or advisory services.
- There is no advisory, fiduciary, or client relationship created between you and The Investor’s Podcast Network or any of its hosts, employees, contractors, or community members through your participation in the Communities and Events.
You agree that:
- You will not treat any Information as personalized advice or a primary basis for any investment decision.
- You are solely responsible for your own research and for consulting your own qualified financial, tax, legal, or other professional advisor before making any financial or investment decisions.
3. Risks of Information and Use of the Services
The Services provide Information regarding, among other things, securities, securities markets, businesses, and general investment or personal-development strategies. The Information may be provided by:
- Hosts, moderators, employees, contractors, or affiliates of The Investor’s Podcast Network,
- Members and other participants in the Communities and Events, and
- Third-party speakers, guests, and service providers (collectively, “Information Providers”).
You understand and agree that:
- No Guarantee of Accuracy or Completeness
- The Investor’s Podcast Network does not verify or guarantee the accuracy, truthfulness, or completeness of Information provided by Information Providers.
- Information may include opinions, forecasts, or projections and may be incomplete, inaccurate, out of date, or otherwise unreliable.
- You should independently verify any Information before relying on it.
- No Endorsement of Opinions or Recommendations
- The Investor’s Podcast Network does not endorse any specific opinion, recommendation, strategy, or security discussed by any Information Provider.
- The fact that Information is shared through the Services does not mean we agree with or stand behind it.
- Forward-Looking Statements and Uncertainty
- Information may contain “forward-looking statements” that are inherently uncertain and subject to risks and changes in circumstances.
- Any such statements speak only as of the date made. Neither TIP nor any Information Provider has any obligation to update or revise them.
- Market and Investment Risk
- The stock market and other financial markets involve significant risk, including the possible loss of principal.
- Past performance is not a guarantee of future results.
- Investments, strategies, and markets discussed in the Communities and Events may be volatile and may not be suitable for you.
By using the Services, you acknowledge and agree that:
- You alone are responsible for your investment decisions and outcomes.
- You will not hold The Investor’s Podcast Network or any of its members, officers, employees, contractors, affiliates, Information Providers, or other participants responsible for any trading or investment decisions you make, or for any losses you may incur, based directly or indirectly on the Information or your participation in the Communities and Events.
4. Disclosure of Interests and Conflicts
From time to time, The Investor’s Podcast Network, its affiliates, members, officers, employees, contractors, Information Providers, and/or their affiliates may:
- Hold positions in one or more of the securities or investments discussed in the Communities and Events, and
- Buy, sell, or otherwise change such positions at any time, without notice to you.
You understand and agree that:
- They may have additional information regarding such securities or companies and have no obligation to disclose that information to you.
- They may liquidate or increase positions at any time, which may affect the market price of such securities.
- There is no guarantee that any Information Provider’s goals, strategies, time horizon, risk tolerance, or investment decisions are aligned with yours or that they continue to hold or act on any position they discuss.
You should always assume that hosts, guests, and other participants may have financial interests in the securities and strategies being discussed.
5. Accounts, Credentials, and Security
To access certain parts of the Communities and Events, you may need to create an account on third-party platforms (such as Circle, Zoom, or other tools we use from time to time).
You agree that:
- Your account is for your personal use only and may not be shared, sold, or transferred to any other person.
- You will keep your login credentials confidential and secure.
- You are responsible for all activity that occurs under your account, whether or not you authorized it.
- You will promptly notify us if you become aware of any unauthorized use of your account or any other breach of security.
You may not maintain more than one account for the same Community or Event unless we expressly approve it in writing.
6. User Content; Community Conduct and Prohibited Activities
Participants in the Communities and Events may post, upload, or share text, audio, video, images, or other materials (“User Content”).
6.1 License You Grant to TIP
By making any User Content available through the Services, you grant The Investor’s Podcast Network a worldwide, irrevocable, perpetual, non-exclusive, transferable, sublicensable, royalty-free license to use, copy, modify, adapt, distribute, publish, translate, create derivative works from, publicly perform, publicly display, transmit, stream, broadcast, and otherwise exploit such User Content, in whole or in part, in any media now known or later developed, in connection with our business and the Services.
We do not claim ownership of your User Content, but this license allows us to reuse community discussions and contributions (for example, to create anonymized case studies or educational materials), subject to our Privacy Policy.
6.2 Your Responsibility for User Content
You are solely responsible for all User Content you submit, post, or share through the Services. You represent and warrant that:
- You own or have all necessary rights, licenses, consents, and permissions to grant the license above.
- Your User Content, and our use of it, does not and will not infringe or violate any third party’s intellectual property rights, privacy or publicity rights, or other rights, or any applicable law or regulation.
- Your User Content does not contain any material, non-public (inside) information about a public company or security.
- Your User Content is truthful to the best of your knowledge and not knowingly false or misleading.
6.3 Prohibited Content and Conduct
You agree not to submit, post, upload, or share any User Content, and not to engage in any conduct that:
- Infringes, misappropriates, or violates any patent, copyright, trademark, trade secret, moral right, or other intellectual property or proprietary right of any person;
- Violates any law or regulation or could give rise to civil or criminal liability;
- Is fraudulent, false, misleading, or deceptive;
- Is defamatory, libelous, or otherwise harms the reputation of any person or entity;
- Is obscene, pornographic, vulgar, or offensive;
- Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group;
- Is violent or threatening, or promotes violence or actions that are threatening to any person;
- Promotes illegal or harmful activities, substances, or securities-law violations (including, without limitation, market manipulation, “pump and dump” schemes, or trading on inside information); or
- Violates any posted community rules, codes of conduct, or guidelines we provide.
You agree not to:
- Use the Communities and Events to provide professional advice (investment, legal, tax, or otherwise) in violation of applicable law;
- Attempt to harvest, scrape, or collect information about other participants without their consent;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity; or
- Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party’s use of the Services.
6.4 Moderation and Enforcement
The Investor’s Podcast Network reserves the right, but not the obligation, to:
- Monitor, review, edit, or remove any User Content for any reason or no reason, at our sole discretion; and
- Suspend or terminate your access to any or all of the Communities and Events if we believe you have violated these Terms, any community guidelines, or applicable law.
We are not responsible for any delay or failure to remove content, or for any harm arising from User Content posted by you or others.
If your access is suspended or terminated, you will not be entitled to any refund or credit, and your obligations under these Terms (including, without limitation, indemnification and limitations of liability) will continue.
7. Events, Activities, and Assumption of Risk
From time to time, we may host or facilitate in-person or virtual events, including but not limited to dinners, meetups, retreats, workshops, and Masterclass gatherings (collectively, “Events”).
By registering for or attending any Event, you understand and agree that:
- Assumption of Risk
- Your participation in any Event is voluntary and at your own risk.
- Events may involve travel, social interaction, and other activities that carry risks of illness, injury, property damage, or other harm.
- You are solely responsible for your own safety, conduct, and decisions at Events, and for complying with all applicable laws and venue rules.
- No Responsibility for Third Parties
- The Investor’s Podcast Network is not responsible for the acts or omissions of other participants, venues, vendors, or any third parties.
- We do not control and are not responsible for transportation, lodging, or other arrangements you make in connection with any Event.
- Health and Fitness
- You are solely responsible for determining whether you are physically and medically able to participate in any Event activities.
- You should consult with your physician as appropriate before participating in any physical activities.
- Release of Claims
- To the fullest extent permitted by law, you agree to release and hold harmless The Investor’s Podcast Network, its members, officers, employees, contractors, and affiliates from any and all claims, damages, losses, or liabilities arising out of or related to your attendance at or participation in any Event, except to the extent caused by our gross negligence or willful misconduct.
We may require additional Event-specific waivers or terms for certain Events. In the event of a conflict between such Event-specific terms and these Terms, the Event-specific terms will control for that Event.
8. Payments, Renewals, and Refunds
Payment for Communities and Events (including subscriptions, one-time fees, and installment plans) is generally due in advance and may renew automatically, depending on the offering.
By enrolling, you agree that:
- Your payment method may be charged automatically for renewals unless you cancel in accordance with the cancellation procedures and deadlines we specify.
- Renewal periods (monthly, annually, or otherwise) and rates will be as stated at the time of purchase or renewal.
- If your payment is declined or your account becomes delinquent, we may suspend or terminate your access to the Services.
Unless otherwise expressly stated in the specific offer, all fees are non-refundable and non-transferable. We may, in our sole discretion, choose to issue a partial or full refund in certain situations; such decisions will not obligate us to do so in the future.
9. Disclaimer of Warranties; Limitation of Liability; Indemnification
9.1 Disclaimer of Warranties
THE SERVICES AND ALL INFORMATION ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE INVESTOR’S PODCAST NETWORK DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY,
- FITNESS FOR A PARTICULAR PURPOSE,
- NON-INFRINGEMENT, AND
- ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that:
- The Services will be uninterrupted, secure, or error-free;
- The Information is accurate, complete, current, or reliable; or
- Any particular results, outcomes, or returns will be achieved through the use of the Services.
9.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE INVESTOR’S PODCAST NETWORK, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR
- ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES,
ARISING OUT OF OR IN CONNECTION WITH:
- YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES;
- ANY INFORMATION OR CONTENT OBTAINED FROM THE SERVICES;
- YOUR ATTENDANCE AT OR PARTICIPATION IN ANY EVENT; OR
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR YOUR ACCOUNT,
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SPECIFIC COMMUNITY OR EVENT GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above limitations may not apply to you.
9.3 Indemnification
You agree to indemnify, defend, and hold harmless The Investor’s Podcast Network, its members, officers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way related to:
- Your use of the Services,
- Your User Content,
- Your violation of these Terms, any community rules, or applicable law, or
- Your infringement or violation of any rights of another person or entity.
10. Intellectual Property; Recordings; Media Release
All content we provide in the Communities and Events (other than User Content) is the property of The Investor’s Podcast Network or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You agree that:
- You may use such content solely for your personal, non-commercial use in connection with the Services.
- You may not copy, reproduce, distribute, modify, publish, broadcast, or create derivative works from our content without our prior written consent, except as permitted by law.
Events and community sessions may be audio- or video-recorded, photographed, or otherwise captured by or on behalf of The Investor’s Podcast Network.
By participating in any Event or live session, you:
- Consent to being recorded, photographed, or otherwise captured; and
- Grant The Investor’s Podcast Network a royalty-free, worldwide, perpetual license to use your name, likeness, voice, image, and statements in any such recordings or materials, in any media now known or later developed, for editorial, educational, promotional, or other lawful purposes, without additional notice or compensation, to the fullest extent permitted by law.
If you do not wish to appear in recordings or marketing materials, it is your responsibility to:
- Notify us in advance where feasible, and
- Take reasonable steps to limit your participation (e.g., turning off your camera, using a pseudonym, or not speaking on recorded segments), recognizing that we cannot guarantee complete exclusion.
11. General Provisions
11.1 Equipment and Access
You are responsible for obtaining and maintaining all equipment, software, and internet access needed to use the Services. We are not responsible for any costs or damages to your equipment arising from your use of the Services.
11.2 Non-Transferability
Your rights to access the Communities and Events are personal to you and may not be assigned or transferred without our prior written consent. Your rights terminate upon your death.
11.3 Entire Agreement
These Terms, together with any additional Event-specific terms and our Privacy Policy, constitute the entire agreement between you and The Investor’s Podcast Network regarding the Services and supersede any prior or contemporaneous understandings or agreements.
11.4 Governing Law; Venue; Time Limit for Claims
These Terms and any dispute arising out of or relating to the Services shall be governed by the laws of the United States and, to the extent applicable, the laws of the state of Pennsylvania, without regard to its conflict-of-law principles.
You agree that any legal action or proceeding arising out of or relating to the Services or these Terms shall be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction and venue of such courts.
Regardless of any statute or law to the contrary, you agree that any claim or cause of action arising out of or related to the Services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
11.5 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
11.6 No Waiver
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
